Vendor Terms & Conditions

These Vendor Terms & Conditions (the "Agreement") govern the relationship between Globalgood Ecommerce and all vendors (referred to as "you," "the vendor," or "your") who wish to list products for sale on the Globalgood Ecommerce Platform (the "Platform"). By registering as a vendor on the Platform, you agree to comply with these terms and conditions.
The Globalgood Ecommerce Platform is a multivendor marketplace owned by Globalgood Corporation (GHQ), a nonprofit organization, and managed by Neshuns Corporation Inc. (NGHQ). This platform connects vendors with buyers to create a sustainable, ethical, and community-driven economy aligned with Globalgood’s mission of promoting economic justice and transitioning to a debt-free economy.
1. Vendor Registration
To become a vendor of Globalgood Ecommerce, you must complete the registration process, which includes submitting accurate and up-to-date information about your business, products, and shipping capabilities. You may be required to provide:
- Business Name: The legal name of your business.
- Tax Identification Number: For tax reporting purposes.
- Payment Information: To receive payments for your sales.
- Shipping and Fulfillment Information: To manage shipping logistics and fees.
- Product Listings: Information about the products you plan to sell on the platform.
Upon approval, you will receive access to the vendor dashboard, where you can list products, manage inventory, and track sales.
2. Vendor Responsibilities
As a vendor of Globalgood Ecommerce, you agree to:
- Product Listings: Provide accurate and complete product descriptions, including details on product specifications, pricing, availability, and shipping information. All product listings must comply with the platform’s guidelines for accuracy, honesty, and clarity.
- Pricing and Fees: Set the price for your products, ensuring that the prices are fair, competitive, and aligned with the Platform’s values. You are responsible for paying any applicable fees, including transaction fees, shipping fees, and listing fees as outlined in the vendor agreement.
- Product Quality and Safety: Ensure that all products listed on the Platform meet the necessary safety standards and comply with applicable laws. Products must be safe, authentic, and not defective. You are responsible for ensuring your products comply with local regulations and safety standards.
- Compliance with Laws: Comply with all applicable laws, including consumer protection laws, intellectual property laws, and tax laws. You must hold the necessary licenses, permits, and certifications to legally sell your products.
- Shipping and Fulfillment: If you are responsible for shipping your products, ensure timely and accurate fulfillment. You must ship products within the timeframe stated in your listing. Shipping costs and handling fees are your responsibility unless otherwise agreed upon with the buyer.
- Donated Goods: If you sell donated goods, ensure that these items are in good condition and clearly marked as donated. You are responsible for confirming that the donated items meet the platform’s quality standards and that they are suitable for resale. Donated products should be treated with dignity and respect, and their resale should align with the Globalgood mission.
3. Platform Usage Guidelines
As a vendor, you agree to follow these guidelines:
- Product Listings: Your product listings must accurately describe your products and must not be misleading. Images used in product listings should clearly represent the product being sold.
- Fair Business Practices: You agree to engage in fair trade practices. Do not engage in fraudulent activities, price gouging, or misleading marketing practices.
- Customer Service: You are responsible for providing excellent customer service to buyers, addressing inquiries, processing returns or refunds, and handling disputes. Failure to provide adequate customer service can lead to removal from the platform.
- Respect for Intellectual Property: You must not sell counterfeit products or infringe upon third-party intellectual property rights. By listing products on the Platform, you represent that you hold the necessary rights or licenses for those products.
4. Sales and Payment
- Order Fulfillment: Once a purchase is made, you are responsible for fulfilling the order in accordance with the Platform’s policies. You must notify the customer of any delays and ensure the timely delivery of the product.
- Payments: Payments for sales will be processed according to the payment method specified by the Platform. The Platform charges a transaction fee for each sale, and payment processing fees may apply. Globalgood Ecommerce will transfer the funds to the vendor after deducting these fees.
- Taxes: You are responsible for paying any applicable sales tax, VAT, or other taxes associated with your sales, as required by law. The Platform will provide vendors with sales records and reports to help with tax reporting.
5. Refunds and Returns
- Vendor Responsibility: As a vendor, you are responsible for processing any returns or refunds related to your products. If the product is defective, damaged during shipping, or not as described, you must offer a full refund or replacement in accordance with the Platform’s Return & Refund Policy.
- Returns Process: Returns must be handled in accordance with the Globalgood Ecommerce Return & Refund Policy. If the return is due to a mistake made by the vendor (e.g., wrong item shipped), the vendor is responsible for covering the return shipping costs.
- Donated Goods: Donations that are resold through the platform are not subject to returns unless there is a defect. If a donated item is defective, you are required to provide a refund or replacement, in alignment with the Return & Refund Policy.
6. Vendor Fees and Commissions
- Transaction Fees: Globalgood Ecommerce charges a commission on each sale made through the Platform. The commission percentage is based on the type of product being sold and is outlined in the vendor agreement. The commission fee will be deducted from the total sale price before the funds are transferred to the vendor.
- Shipping Fees: Shipping costs are generally the responsibility of the vendor unless the Platform or local manager covers these costs. Vendors may choose to include free shipping or offer specific shipping options to the buyer.
- Listing Fees: Vendors may be required to pay a listing fee for each product they list on the platform, depending on the vendor agreement.
7. Intellectual Property
- Ownership of Listings: As a vendor, you retain the intellectual property rights to the products you list. However, by listing your products on the Platform, you grant Globalgood Ecommerce the right to use your product images, descriptions, and trademarks for marketing and promotional purposes.
- Infringement: You must not list any products that infringe upon the intellectual property rights of others. If a vendor is found to be selling counterfeit or infringing products, they may be removed from the platform and held liable for any damages caused.
8. Termination of Vendor Account
Globalgood Ecommerce reserves the right to suspend or terminate any vendor account that:
- Violates these Vendor Terms & Conditions.
- Engages in fraudulent or abusive behavior.
- Fails to ship products on time or provide adequate customer service.
- Misrepresents products or violates intellectual property laws.
Vendors may also close their accounts voluntarily by submitting a request to the Platform. Any pending transactions must be completed, and all returns, refunds, and customer service inquiries must be resolved before account closure.
9. Limitation of Liability
To the fullest extent permitted by law:
- Globalgood Ecommerce is not liable for any loss or damage arising from your use of the platform, including issues with products, transactions, or shipping.
- The Platform is provided “as is” and “as available”. Globalgood Ecommerce does not guarantee the accuracy or completeness of product listings or information provided by vendors.
10. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Ohio, USA, without regard to its conflict of law principles. Any disputes related to this Agreement will be resolved through mediation or arbitration, as outlined in the Dispute Resolution Policy. Jurisdiction for any legal proceedings shall be in Ohio, USA.
11. Amendments to Vendor Terms
Globalgood Ecommerce reserves the right to modify or update these Vendor Terms & Conditions at any time. Vendors will be notified of any significant changes, and continued use of the platform constitutes the vendor’s acceptance of the updated terms.
